 Terms and Conditions

 These general Terms and Conditions (‘‘Terms’’) govern your relationship with HCham (“HCham”, “we”, “us”, “our”).

Membership is subject to these Terms. By accessing and using our site (www.hcham.org), proceeding with the registration process for membership or ordering any products or services or taking advantage of any Member Offers you agree to be bound by these Terms, our Code of Ethics, Privacy Policy, Website Terms of Use and Acceptable Use Policies, Cookie Policy and other documents expressly referred to in them.

  1. Membership
    1. Applications for Membership
      1. Membership of HCham is open to public and private business organisations, NGOs, NPOs, trade associations and development bodies, Chambers of Commerce and any other organisation or individual having an interest in business, commerce or any specific industry’s operation, trade or development.
      2. Admission is dependent on membership applications being approved by HCham and payment of the subscription fee, if any, for the category of membership for which such organisation or person is applying.
      3. The annual and other subscriptions (if any) payable by the members are to be such as HCham from time to time prescribes.
      4. Whenever you provide information to us, you agree to:
        1. Provide us accurate and complete information;
        2. Maintain and promptly update such information to keep it accurate and complete.
    2. Membership categories
      1. Chairman’s Circle Membership (for no more than 10 key sponsors)
        1. Chairman’s Circle membership enables up to 5 nominees of the registered entity or individual to receive HCham Membership Cards and to take part in HCham events and activities free or at member discounted rates, and to bring guests and clients along at Member discounted rates for most events. Details of rates will be published as part of each event or activity announcement. Nominees will receive HCham newsletters and can take advantage of Member Offers, as well as Chairman’s Circle only events.
        2. Chairman’s Circle members are listed as a member in all HCham communications and directories. Chairman’s Circle members are entitled to be profiled on our website and in our newsletter after joining. Chairman’s Circle members may nominate a representative to the HCham Nomination Committee to join the HCham Advisory Council.
        3. The role of the HCham Advisory Council is to provide guidance and support to the Executive Committee on HCham’s overall strategy and organisation.
        4. The HCham Advisory Council draws on the collective experience, insights, and vision of our corporate members, allowing HCham to position itself for current and future challenges, and help provide a higher level of support and benefits to its members and Executive Committee.
      2. Large Corporate Membership (for large corporations with 50+ employees worldwide)
        1. Large Corporate membership enables up to 2 nominees of the registered entity to receive an HCham Membership Card, take part in HCham events and activities at Member discounted rates and to bring guests and clients along at Member discounted rates for most events. Details of rates will be published as part of each event or activity announcement. Nominees will receive HCham newsletters and can take advantage of Member Offers.
        2. Large Corporate members are listed as a member in HCham directories. Large Corporate members are entitled to be profiled on our website and in our newsletter after joining.
      3. Associate Members (for NGOs, NPOs, Chambers of Commerce, trade associations and bodies, city and regional development bodies around the world, national and government bodies and other non-commercial entities)
        1. Associate Members shall have similar privileges and benefits as Large Corporate Members.
      4. Corporate Membership (Hainan) (for SME corporations in Hainan)
        1. Only companies with less than 50 employees worldwide are allowed to join this membership category.
        2. Only companies with business registration, representative office or staff in Hainan are allowed to join this membership category.
        3. Corporate membership (Hainan) enables 1 nominee of the registered entity to receive an HCham Membership Card, take part in HCham events and activities at Member discounted rates and to bring guests and clients along at Member discounted rates for most events. Details of rates will be published as part of each event or activity announcement. Nominees will receive HCham newsletters and can take advantage of Member Offers.
      5. Corporate Membership (International and Mainland China) (for SME corporations from outside Hainan)
        1. Only companies with less than 50 employees worldwide are allowed to join this membership category.
        2. Only companies with no staff, nor representation, in Hainan are allowed to join this membership category
        3. Corporate membership (International and Mainland China) enables 1 nominee of the registered entity to receive an HCham Membership Card, take part in HCham events and activities at Member discounted rates and to bring guests and clients along at Member discounted rates for most events. Details of rates will be published as part of each event or activity announcement. Nominees will receive HCham newsletters and can take advantage of Member Offers.
      6. Individual membership
        1. This membership is designed for foreign (non-Chinese nationality) employees of Chinese or foreign-owned companies or organisations, retirees and postgraduate or business-related course students only.
        2. This membership enables Individual members to take advantage of many of the same benefits as Corporate members, with the exception that Individual members will not be profiled in the HCham newsletter and directories, nor badged at HCham events as a corporate representative.
      7. Honorary membership
        1. The Executive Committee and the Advisory Council have the power to invite individuals to become Honorary members of HCham if they consider that person to be deserving of special distinction.
        2. An Honorary membership shall continue until the Executive Committee and the Advisory Council resolves to revoke such membership.
        3. All Honorary members shall be entitled to enjoy the same rights and be subject to the same obligations as enjoyed by Individual members save that there shall be no requirement to pay an annual subscription.
      8. Founding Members
        1. The first fifteen entities to join in each membership category shall be awarded the additional title of Founding Member of HCham.
        2. Subject to Section I, Clause 2.8.3 below notwithstanding, Founding Members shall retain this title as a privilege for life, regardless of whether they chose to terminate their membership.
        3. The title Founding Member shall be revoked if HCham terminates a membership due to breach of these Terms.
    3. Membership fees
      1. You agree to pay an annual payment (one-year subscription) or biannual payment (two-year subscription) to HCham, the sum of which is set by HCham from time to time.
      2. The membership period will run for 12 calendar months or 24 calendar months as appropriate from receipt of payment.
      3. An invoice will be produced on request.
      4. Subscriptions are automatically renewed each year or two years as applicable unless you cancel your Subscription by giving us at least 1 month written notice prior to the anniversary of your membership period.
    4. Membership Card Levels
      1. HCham Membership cards are coded as Ocean Member, Coral Member or Pearl Member.
        1. Chairman’s Circle, Advisory Council Members and certain Honorary Members (as approved by the Executive Committee and Advisory Council) shall be Ocean Members
        2. Other Sponsors, Large Corporate and certain Associate Members and certain Honorary Members (as approved by the Executive Committee and Advisory Council) shall be Coral Members
        3. Corporate and Individual Members shall be Pearl Members.
      2. Each membership card level shall be entitled to different privileges, as detailed in events and activities brochures and announcements, member offers, and as published by HCham from time to time via our website or other published materials.
    5. Conduct of Members and their Guests
      1. Member Conduct
        1. Each member must use his or her reasonable endeavours to promote the interests of HCham and shall not do anything that is likely to harm those interests.
        2. Other than with the express written permission of HCham, members must not:
          1. hold themselves to be a member of any Council, Committee or Office in HCham;
          2. use the name, address or logo of HCham in any way or by any means or for any purpose; or
          3. send unsolicited mail or spam to other members.
      2. Members must:
        1. behave ethically in all their dealings with HCham and other members and their respective representatives and guests.
      3. When attending HCham meetings, functions and events (whether in Hainan, the Chinese mainland or abroad) members or any representative, guest or client of a member must:
        1. conduct themselves with decorum at all times;
        2. comply with and obey any reasonable requests made of them by any HCham representative in relation to the member’s attendance;
        3. avoid making any remarks or doing anything that is slanderous, racist, sexist, discriminatory or likely to be considered inappropriate by a reasonable person;
        4. respect the views of HCham and other members and their respective representatives and guests and members should avoid discussing politics and religion or any other topic that might be considered as controversial or likely to upset or irritate another person’s particular sensitivities;
        5. abide by the laws and regulations of the Peoples Republic of China at all times.
      4. Guests
        1. Members may bring a guest to the regular networking events organised by HCham unless the guest:
          1. has attended two or more HCham events in the previous calendar year but has not applied for membership;
          2. has had his or her application for membership declined; or
          3. was formerly a member but whose membership has been terminated (unless approved by the Executive Committee).
        2. Members are responsible for the conduct and behaviour of any guest that they invite to attend an HCham event.
        3. Guests are subject to the same standards and requirements for behaviour as a member.
      5. Any HCham Officer may refuse admission of or eject any person (whether that person is a member or a guest of a member) at any HCham event without the need to give reasons for such refusal.
    6. Use of HCham’s address
      1. Members must not use HCham’s registered office address or any other address of HCham as their own address for any purpose.
    7. Complaints
      1. If a member wishes to raise a complaint about any matter affecting HCham or their membership of HCham, they should initially address the complaint to the Chief Executive Officer of HCham, who may refer the matter to the Executive Committee or Advisory Council (if deemed appropriate).
      2. If the member remains unsatisfied having raised the complaint with the Chief Executive, or if the complaint concerns the Chief Executive themselves, the member should write to the Chairman of HCham.
      3. If the complaint concerns the Chairman, and the member remains unsatisfied after writing to the Chief Executive, the member should write to the Secretary of the Advisory Council who will bring the complaint before the Advisory Council.
    8. HCham Committee and Council Meetings
      1. HCham shall from time to time as it sees fit convene Industry Committee, Executive Committee and Advisory Council meetings
      2. The procedure governing the convening and the holding and conduct of such meetings shall be determined by HCham and where necessary published and promulgated to invited attendees and members of said committees and council in advance of such meetings.
    9. Termination
      1. You are entitled to terminate your membership at any time by giving us at least 1 month’s written notice.
      2. HCham reserves the right to terminate, at its sole discretion, your membership at any time without notice if, in particular:
        1. In the opinion of HCham you behave inappropriately towards other members or towards HCham;
        2. In the opinion of HCham you bring HCham into disrepute or behave in any manner which seems likely to do so;
        3. You fail to comply with Section I, Clause 3.1 above;
        4. You fail to comply with relevant Chinese legislation currently in force.
      3. For the avoidance of doubt, you will not be entitled on termination of your membership to any refund, either in full or part, of any Subscription that you have paid.
  2. Events
    1. General
      1. In the unlikely circumstance that changes have to be made to any event, we reserve the right to make any such changes to the list of activities, speakers, facilities, date or time.
      2. We reserve the right to use third parties in organising our events in order to offer the best possible service.
      3. We reserve the right to charge you at cost for any damage caused by you or any guest or attendee whose attendance is booked and/or paid for by you to the premises where the event is held.
    2. Event bookings
      1. These Terms shall apply to all events organised by us and no variation to these Terms shall be valid unless we agree to it in writing. By making a booking request to attend one of our events you confirm your acceptance of these Terms.
      2. Your booking request is an offer by you to enter into a binding contract with us, which we are free to accept or decline at our absolute discretion. We will contact you to confirm the booking at which point a contract will come into existence between us.
      3. Your booking is only valid once adequate payment has been arranged prior to the event, unless otherwise individually agreed with HCham.
    3. Cancellation
      1. Cancellation by you
        1. If you wish to cancel a booking you should notify us of your cancellation more than 72 hours prior to the event to receive a full refund less a 50 RMB administration charge. If you cancel 72 hours or less prior to the event you will be charged the full price of the event.
        2. Participants may be substituted, provided HCham is notified in due course and at the HCham’s discretion.
      2. Cancellation by us
        1. We will use our best endeavours to provide the events on the dates and times specified. However, if we need to cancel an event we will give you as much notice as possible. In these circumstances and subject to Section II, Clause 3.3 below we will either refund the price of the event in full or, if you would prefer, we will put your payment towards another event. Please be advised that we cannot be held responsible for any travel or other related costs incurred should an event be postponed or cancelled.
        2. We reserve the right to amend or cancel your event booking at any time. If your booking is cancelled we will refund any fees paid except in the case of Force Majeure.
      3. Force Majeure
        1. No refund of fees already paid is available where an event is cancelled for a reason that is beyond the reasonable control of HCham (including but not limited to industrial disputes affecting any third party, governmental regulations or action, military action, fire, flood, disaster, civil riot, acts of terrorism or war) (“Force Majeure Event”).
        2. HCham reserves the right to reschedule an event in the case of a Force Majeure Event.
      4. Limitation of liability
        1. Our maximum aggregate liability to you and any guest or attendee whose attendance is booked and/or paid for by you, and all losses, claims, demands, damages, costs and/or expenses of any kind howsoever arising out of or in connection with any event (including in respect of negligence) shall not exceed the price paid for the event in question.
        2. Nothing in these Terms shall restrict and/or exclude in any way our liability for:
          1. death or personal injury resulting from our negligence;
        3. fraud or fraudulent misrepresentation.
  3. General
    1. How we use your personal information
      1. We only use your personal information in accordance with HCham’s Privacy Policy.
      2. Please take the time to read our Privacy Policy, as it includes important terms which apply to you.
    2. Our right to vary the Terms
      1. HCham reserves the right to revise and amend these Terms at any time at our sole discretion.
      2. You will be subject to the policies and Terms in force at the time that you register as a member or order products or services from us, unless any change to those policies or the Terms is required to be made by law or governmental authority (in which case it will apply to orders previously placed by you).  HCham reserves the right to vary these Terms and Conditions at any time, and you agree to remain bound by any such reasonable changes.
    3. Third party rights
      1. A person who is not party to the Terms or a Contract shall not have any rights under or in connection with them.
    4. Severance
      1. If a court or any other competent authority finds that any provision of these Terms (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of the Terms shall not be affected.
      2. If any invalid, unenforceable or illegal provision of the Terms would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.
    5. Governing law and jurisdiction
      In the event of any dispute or claim arising out of or in connection with these Terms or its subject matter or formation (including non-contractual disputes or claims):
  1. These Terms shall be governed by, and construed in accordance with, the law of the Peoples Republic of China
  2. The parties irrevocably submit to the exclusive jurisdiction of the courts of the Peoples Republic of China
